GOVERNANCE ORGANS & STRUCTURE OF UCOBAC

ORGANS OF THE ASSOCIATION AND THEIR FUNCTIONS

BOARD OF TRUSTEES

UCOBAC has a Board of Trustees consisting of five (5) persons proposed by the Board of Directors and approved by the Assembly. The Board of Trustees is” incorporated under the Trustees Incorporation Act and hold all organization property, funds and endowment as may lawfully be entrusted to them for any the general purposes of UCOBAC in the state of Uganda or any part thereof.

THE NATIONAL GENERAL ASSEMBLY

This is the Supreme decision-making body of the Association. It is composed of UCOBAC paid up members.  The members of the General Assembly hold Annual General Meetings (AGM) and are eligible to vote/elect or be voted/elected to the Board of Directors. The General Assembly determines the general policies of the Association, approve the establishment of any institutions or bodies required for the operations including appointment of the Association’s Auditors, approve the organization’s annual reports, plans, budgets and balance sheets of the Board of Directors, approve the appointment of Board of Trustees and amend the Constitution as necessary.

THE BOARD OF DIRECTORS

The General Assembly elects from among its members the “The Board of Directors” which is the Organization’s governance body that oversee the execution and implementation of the decisions of the Assembly. The Board of Directors can also be appointed by the outgoing Board of Directors based on their expertise and approved by the General Assembly. Members of the Board of Directors shall serve for three years and are eligible for one more term only.

 

Composition of the Board of Directors:

  • Chairperson

  • A Vice Chairperson

  • Treasurer

  • Three other members

  • One member will be co-opted by the Board of Directors one (1) who could be the immediate past Chairperson.

  • The Secretary of the Board is the Executive Director who is an ex-officio member.

DISTRICT AFFILIATES

In all Districts of Operation in Uganda, A district affiliate Committee (DAC) comprising of five (5) members is constituted made up of representatives of different member grassroots groups and Community Based Associations (CBOs) in the district as well as other technical members at the district. This facilitates extension of organization decision making, and programming near to the people, enabling grass root persons to participate and benefit from the association’s programs and activities thus promoting community ownership and sustainability of Association’s programs.
